Terms of Service

Effective: April 4, 2026

1. Parties

These Terms of Service ("Agreement") constitute a legal agreement between you ("Customer", "you") and Vitorian LLC, a Delaware limited liability company located at 3707 W Shermer Rd, Northbrook, IL 60062 ("Vitorian", "we", "us"). By purchasing, downloading, installing, or using any software product sold through hftsim.com, you agree to be bound by this Agreement.

2. Definitions

"Product" means any software application, library, or tool distributed by Vitorian through hftsim.com, including but not limited to HFT Decoder, Exchange Simulator, and Performance Benchmarks.
"License Key" means the unique key provided to you upon purchase that activates the Product.
"Subscription" means the recurring payment plan under which you are granted access to a Product.
"Authorized User" means a single named individual authorized to use the Product under your Subscription.

3. Grant of License

Subject to payment of the applicable fees and compliance with this Agreement, Vitorian grants you a limited, non-exclusive, non-transferable, revocable license to:

Install and use the Product on any number of machines, provided that only the Authorized User operates the software.
Use the Product for your internal business or personal purposes.
Make reasonable backup copies of the Product for archival purposes.

Each Subscription is licensed per user. If multiple individuals need to use the Product, each must have their own Subscription.

4. Restrictions

You may not:

Redistribute, sublicense, rent, lease, or lend the Product or your License Key to any third party.
Reverse-engineer, decompile, disassemble, or attempt to derive the source code of the Product, except to the extent expressly permitted by applicable law.
Remove, alter, or obscure any copyright, trademark, or proprietary notices in the Product.
Use the Product to develop a competing product or service.
Share, publish, or otherwise disclose your License Key.

5. Subscription and Fees

Subscriptions are billed monthly per user. All payments are processed by Paddle.com, which acts as our Merchant of Record. Paddle handles billing, sales tax, VAT, and invoicing on our behalf. By purchasing, you also agree to Paddle's Terms of Use and Privacy Policy.

Subscriptions automatically renew at the end of each billing cycle unless cancelled. You may cancel at any time through Paddle's subscription management portal. Cancellation takes effect at the end of the current billing period.

We reserve the right to change pricing with 30 days' written notice. Price changes apply to the next billing cycle following the notice period.

6. Refund Policy

Consumers in the EU/EEA and UK have the right to withdraw from their purchase within 14 days of the transaction date, in accordance with Paddle's Buyer Terms, unless the Product has been downloaded or used during that period with the buyer's consent. For all other regions, all sales are final once a License Key has been delivered.

You may cancel your Subscription at any time, and cancellation takes effect at the end of the current billing period — you will retain access until then.

7. Intellectual Property

The Product, including all code, documentation, designs, and associated materials, is the exclusive property of Vitorian LLC and is protected by United States and international copyright, trade secret, and intellectual property laws. This Agreement grants you a license to use the Product; it does not transfer ownership of any intellectual property.

8. Third-Party Components

The Product may include open-source or third-party software components, each governed by its own license terms. A list of such components and their licenses is included with the Product documentation. Nothing in this Agreement limits your rights under those licenses, nor does it grant you rights that supersede them.

9. Disclaimer of Warranties

THE PRODUCT IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. VITORIAN DOES NOT WARRANT THAT THE PRODUCT WILL BE ERROR-FREE, UNINTERRUPTED, OR FREE OF HARMFUL COMPONENTS.

The Product is designed for software development and testing purposes. It is not intended for use in live trading systems without independent validation. Vitorian makes no representations regarding the suitability of the Product for any particular trading strategy or financial application.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL VITORIAN BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, TRADING LOSSES, BUSINESS INTERRUPTION, OR COST OF SUBSTITUTE GOODS OR SERVICES, ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT OR THE USE OF THE PRODUCT, REGARDLESS OF THE THEORY OF LIABILITY.

VITORIAN'S TOTAL AGGREGATE LIABILITY UNDER THIS AGREEMENT SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO VITORIAN IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

11. Term and Termination

This Agreement is effective from the date you first use or purchase the Product and continues for the duration of your Subscription. Either party may terminate this Agreement:

You may terminate by cancelling your Subscription and ceasing all use of the Product.
We may terminate or suspend your license immediately if you breach any term of this Agreement.

Upon termination, you must cease all use of the Product and destroy any copies in your possession. Sections 7, 9, 10, and 13 survive termination.

12. Export Compliance

You agree to comply with all applicable export control laws and regulations of the United States and other jurisdictions. You may not export or re-export the Product to any country, entity, or person prohibited by such laws.

13. Governing Law and Disputes

This Agreement shall be governed by and construed in accordance with the laws of the State of Illinois, United States, without regard to its conflict of law provisions. Any disputes arising under this Agreement shall be resolved in the state or federal courts located in Cook County, Illinois, and you consent to the exclusive jurisdiction of such courts.

14. Changes to These Terms

We may update this Agreement from time to time. We will notify you of material changes by email or by posting a notice on hftsim.com at least 30 days before the changes take effect. Your continued use of the Product after the effective date of any changes constitutes acceptance of the updated terms. If you do not agree to the updated terms, you may cancel your Subscription before the changes take effect.

15. Severability

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

16. Entire Agreement

This Agreement constitutes the entire agreement between you and Vitorian with respect to the Product and supersedes all prior or contemporaneous communications, whether electronic, oral, or written.
